Consumer Lending Regulation in Argentina
Legal support for lending businesses entering Argentina. We assess the applicable framework, including OPNFC registration where relevant, and prepare the contracts, customer disclosures and compliance work for your product.
Start with who provides the funds, who borrows and what your platform does. No legal classification is needed to contact us.
In brief
The framework for a lending business in Argentina follows from the credit flows: where the funds come from, who grants the credit, who receives it and what the platform actually does. Jarsun, Ferreira & Calvo assesses the applicable rules, including the BCRA registration for non-financial credit providers where relevant, structures the operation and prepares the loan documents, consumer disclosures and compliance work the product requires.
When This Service May Fit Your Project
- a.You plan to lend to consumers or businesses in Argentina using your own funds.
- b.You operate or plan a credit platform, BNPL product or embedded-credit feature.
- c.You issue or plan to issue credit or purchase cards outside the banking system.
- d.Your lending model interacts with payments, virtual assets or a corporate structure that needs to be set up or adapted.
We begin with the credit flows: where the funds come from, who grants the credit, who receives it and what your platform actually does. The applicable framework follows from those facts.
Lending Regulation, OPNFC and Consumer Compliance: Scope of Work
Assessing the lending model
Review the funding, origination and collection flows against the applicable framework and identify the registrations and obligations that may apply, including the BCRA registration for non-financial credit providers where relevant. See the official BCRA procedure.
Structuring the operation
Align the entity, funding arrangement and contracts with the intended activity, and coordinate entity work as a separately defined engagement where needed: see our company formation service.
Preparing registrations and filings
Where a registration applies, organise the documents, draft the legal components within scope and assist with the submission and its follow-up.
Reviewing product and consumer documentation
Review loan agreements, total cost of credit disclosures, customer communications and collection arrangements under the rules relevant to the product. Identify any connected data-protection, anti-money laundering or foreign-exchange questions that need separate analysis, within the agreed scope.
The proposal identifies the work JFC will handle, the deliverables and the participation needed from your team or other providers. If the model combines lending with payments or virtual assets, the frameworks are assessed together: see fintech market entry.
What the Engagement Delivers
Depending on the agreed stages, the deliverables may include:
- a.A written assessment of the framework applicable to the intended lending model and the questions that need to be resolved.
- b.A plan for the registrations and filings the model requires, with documents, responsibilities and dependencies.
- c.Loan, platform and servicing documents within scope, drafted or adapted for the Argentine operation.
- d.An assessment of the consumer-facing documentation and the compliance items the activity requires.
The proposal specifies which stages are included and which are handled separately.
What We Need to Understand Your Project
Start with a description of the model: the source of the funds, who grants and who receives the credit, the products offered and the role your platform performs. It also helps to know whether you already have an Argentine entity and whether the model operates in other countries.
Existing contracts, policies and corporate documents can be reviewed later, once the required work is defined.
Planning the Work
Entity setup, registrations, product documentation and compliance preparation have different dependencies, and some tasks can advance in parallel. We distinguish preparation, filing and completion of each required step: submitting an application is not the same as obtaining a registration, and any estimated timeline identifies its starting point, assumptions and scope.
The Team and Other Participants
JFC's team coordinates the legal work included in the engagement. The proposal identifies the responsible professional and how communication will be handled. Accounting, audit, technology and banking work may involve your team or independent providers; we define those responsibilities alongside the legal work. You can also meet our team.
Questions Before Getting Started
Is lending with our own funds regulated in Argentina?
Different rules apply to lending depending on the model, products and customers, and certain non-financial credit providers must register with the BCRA. Assessing the requirements relevant to your model is part of the work we can agree with you.
What is the difference between PNFC and OPNFC?
PNFC means non-financial credit provider. OPNFC is the category for other non-financial credit providers, distinct from non-financial credit or purchase card issuers. We assess which registration, if any, applies to your model.
Does the source of funds change the analysis?
Yes. Lending your own funds and channelling third-party funds raise different questions, and the distinction matters for how the model is structured. That is one of the first points we review.
Our platform connects lenders and borrowers but does not lend. Does that matter?
The platform's actual role is central to the analysis. Describe what it does at each step of the credit flow so we can identify the questions to address.
What about interest rates and consumer disclosures?
Consumer lending is subject to transparency and consumer-protection requirements. Reviewing the product documentation against those rules is part of the scope the proposal defines.
