We define the corporate structure around the intended activity, ownership and management arrangements. We prepare the bylaws and formation documents and coordinate the full sequence needed to operate: registry filings, tax registrations and the banking file, working with the project's accounting and tax advisers.

We assist foreign groups with their corporate presence in Argentina: registration of the foreign company as shareholder, establishment of subsidiaries and branches, appointment of representatives and ongoing upkeep of those registrations. We coordinate the documents required in each jurisdiction, including apostilles, translations and group-level corporate approvals.

We advise on the operation of boards, management bodies and shareholder meetings: notices, quorums, minutes and resolutions. We help define approval processes and internal rules that reflect how the business is actually organized, so decisions are properly taken and properly documented.

We draft and review agreements governing the relationship between shareholders: participation in decisions, access to information, management appointments, transfer of interests and mechanisms for addressing disagreements. The arrangements should work with the company's bylaws and be usable in its day-to-day governance.

We design the company's framework of powers of attorney: general and special powers, limits by subject matter and amount, duration and revocation. A clear signing map reduces friction with banks, registries and counterparties, and keeps daily operations from depending on a single person.

We assist with contributions, capital increases and reductions, reserves and distributions, and prepare amendments to corporate purposes, registered offices and other provisions, coordinating the corporate documentation with the accounting and tax aspects of each decision.

We organize corporate books and records, review the standing of appointments and powers, and prepare recurring registry filings. An up-to-date corporate file simplifies audits, banking processes and any future transaction involving the company.

We act as the company's standing corporate team: answering day-to-day questions, documenting recurring decisions and anticipating the corporate calendar's deadlines and obligations, working alongside management and its accounting and tax advisers.
